MealWings User Agreement

This User Agreement (hereinafter - the “Agreement”) defines the terms of access and use of the MealWings website and mobile application, as well as related services (collectively - the “Platform”), operated by Isentró Kft (isentro.com), registered under the laws of Hungary (hereinafter - “MealWings”, “we”, “us”, “our”).

1. General Provisions and Acceptance of the Agreement

By accessing, registering, or otherwise using the Platform, you (hereinafter - the “User”, “you”) confirm that you have read, understood, and unconditionally accept all provisions of this Agreement, the Privacy Policy, and any additional terms posted on the Platform. If you do not agree with any of the terms, please stop using the Platform.

2. Terms and Definitions

• “Expert” - a nutrition/dietetics specialist registered on the Platform, using the Stripe Connect service to accept payments and provide consulting services to Users.
• “User Content” - recipes, photos, comments, private messages, and any other materials posted by the User on the Platform.
• “Subscription” - paid access to an Expert's content or services, arranged by the User via Stripe Subscriptions.
• “PSP” (Payment Service Provider) - a payment service (Stripe, Inc. and affiliates) that accepts, stores, and transfers funds.

3. Right to Use the Platform

1. The User must be legally capable and at least 18 years old, or use the Platform with the consent of a legal representative.
2. Use of the Platform in jurisdictions where its content or services are prohibited by law is not permitted.

4. Registration, Account, and Security

1. Full functionality requires registration and account creation, for which you must provide accurate and up-to-date information. When using the “Diet” section, we additionally request your date of birth, gender, name, email address, weight loss goal, and physical activity level.
2. You are responsible for the security of your account credentials. All actions performed using your identifiers are considered to have been performed by you.
3. We reserve the right to suspend or delete an account if the terms of the Agreement are violated.

5. Personal Data and Confidentiality

1. MealWings processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and the Privacy Policy. We act as the controller of personal data, except when the Expert independently determines the purposes and means of processing - in which case they act as a separate controller.
2. All payment data is processed directly by Stripe; MealWings does not store bank card details.
3. You have the right to request access, correction, deletion, or transfer of your personal data, as well as to object to its processing.

6. Platform Functionality

MealWings provides Users with the ability to:

• create and publish recipes, share them,
• leave comments,
• send private messages,
• use the “Diet” section, which stores parameters entered by the User,
• subscribe and pay for Expert services.

7. Paid Services, Stripe, and Agency Relationship

1. All payments are made exclusively through Stripe. MealWings acts as the Expert's payment collection agent, collecting the payment amount into its own Stripe account on behalf of the Expert.
2. After the Expert provides the service, MealWings automatically transfers the Expert's remuneration to their Stripe Connect account, minus the agency commission.
3. MealWings is not a payment organization and does not provide financial services. Stripe, as a licensed PSP, is responsible for the correct processing of payments.
4. By subscribing, the User explicitly authorizes Stripe to debit regular payments and accepts Stripe's terms.
5. Refunds and chargebacks are processed in accordance with Stripe's policy and the rules of international payment systems; MealWings reserves the right to withhold commission and PSP expenses.

8. User Content

1. You retain all proprietary rights to your own Content, but you grant MealWings a non-exclusive, royalty-free, worldwide, and perpetual license to use, reproduce, publicly perform, adapt, and distribute the Content for the purpose of operating and promoting the Platform.
2. By posting Content, you warrant that you have all necessary rights and indemnify MealWings and Stripe from any third-party claims.

9. Prohibited Use

The User undertakes not to:

• post illegal, harmful, discriminatory, or pornographic content;
• impersonate another person;
• infringe intellectual property rights;
• gain unauthorized access to Platform or Stripe systems;
• collect data of other Users, including email addresses, without their consent.

10. Medical Disclaimer

The information posted on the Platform is for educational purposes only and does not constitute medical advice. Always consult with a qualified doctor before making changes to your diet or physical activity. MealWings and Experts are not responsible for any consequences arising from the User's independent use of the information.

11. Disclaimer of Warranties

The Platform and all content are provided “as is” and “as available.” MealWings does not guarantee uninterrupted, secure, and error-free operation of the Platform, nor the accuracy and completeness of the posted content.

12. Limitation of Liability

1. MealWings, Isentró Kft, and their affiliates are not liable for any lost revenue, reputational damage, indirect, punitive, or consequential damages, even if advised of the possibility thereof.
2. MealWings' total liability in any case is limited to the greater of two amounts: (a) 100 EUR or (b) the actual commission paid by the User to MealWings over the past 12 months.

13. Indemnification

The User undertakes to indemnify MealWings, Isentró Kft, Experts, and Stripe for all losses, expenses, and defense costs in cases where third-party claims arise due to the User's violation of this Agreement or applicable law.

14. Termination of the Agreement

MealWings has the right to suspend or terminate the User's access to the Platform at any time without prior notice if the terms of the Agreement are violated. In case of termination, all licenses granted to the User are automatically revoked.

15. Changes to the Agreement

MealWings may periodically make changes. The updated version comes into effect from the date of publication. Continued use of the Platform signifies acceptance of the changes.

16. Applicable Law and Dispute Resolution

1. This Agreement is governed by the laws of Hungary and applicable European Union law.
2. All disputes not settled by negotiation are subject to the exclusive jurisdiction of the competent courts of Hungary in Budapest.
3. The User may also resort to out-of-court dispute resolution procedures within the EU (ODR - ec.europa.eu/consumers/odr).

17. Miscellaneous

• Neither party shall be liable for non-performance of obligations caused by force majeure circumstances.
• The invalidity of any part of the Agreement does not affect the validity of the remaining provisions.
• Failure to exercise a right is not considered a waiver of it.
